The role

As the Legal Counsel, you will be part of and report into the SMR Legal Support Function and advise the SMR sales organization with drafting, reviewing and negotiation of various types of commercial contracts such as sales and purchase agreements, framework agreements and distribution agreements while continuing roll-out of common processes and trainings. You will also manage disputes (at times through external counsel) and ensure compliance with applicable laws, regulations and Sandvik Group policies and procedures.

This role is a full-time requirement, however Sandvik recognises the desire for flexible working options.

Areas of responsibility

  • Advising on, negotiating and drafting:

  • all forms of mining and construction supply contracts in line with Sandvik’s global corporate policies;

  • procurement contracts, including trading terms, goods and services purchase contracts, lease contracts and hire purchase agreements;

  • agreements for Sandvik’s real estate interests, including lease agreements, sale and purchase of land agreements, and facility design and construction agreements; and

  • confidentiality agreements.

  • Support legal compliance and corporate governance, including advising on board matters, directors’ resolutions and shareholder resolutions, limits of authority, risk allocations in commercial relationships and commercial risk management;

  • Representing Sandvik in any litigation or dispute resolution matters (involving all forms of Alternate Dispute Resolution processes);

  • Assisting and advising global SMR teams and Sandvik Intellectual Property AB on Intellectual Property matters;

  • Understanding Sandvik's global insurance regime and policies, and ensure contractual insurance compliance; and Developing or updating Sandvik’s suite of precedents and presenting training or seminars to internal stakeholders.

Your profile

You will be tertiary qualified in Law (LLB or equivalent), and hold a current or intend to maintain a current legal practicing certificate in Australia. You will have a minimum of 4 years Post Admission Experience in a common-law jurisdiction ideally gained within a top tier law firm and/or an in-house Legal function of a multinational company.

Experience in the mining, construction and/or manufacturing sectors will be considered favorably, although candidates from other relevant industries will be considered.

You will have a proven track record of successfully advising a significant corporation on a wide range of legal issues and experience of managing external legal resources cost effectively. Your experience of analysis of complex legal and commercial issues will be commendable as will your attention to detail and willingness to marshal the relevant facts.

In addition to first class technical legal skills, the successful candidate will possess strong business acumen and judgment, being able to effectively switch between the roles of legal and commercial advisor.
